Subscription and Refund Terms

These Subscription and Refund Terms (these "Subscription Terms") describe the plans, billing, cancellation, and refund practices for The Consigliere, a paid subscription content product published by Consigliere LLC ("the Company", "we", "us", or "our"), a Nevada limited liability company to be formed, available at theaiconsigliere.com. These Subscription Terms are part of, and are incorporated by reference into, our Terms of Service. Capitalized terms not defined here have the meaning given in the Terms of Service. If there is any conflict between the Terms of Service and these Subscription Terms on billing matters, these Subscription Terms control.

1. Plans and Pricing

The Consigliere is offered as a paid subscription that delivers PDF reference and educational documents on AI governance on a scheduled monthly cadence, plus occasional special editions. Current plans, prices, and any applicable taxes are shown at checkout on theaiconsigliere.com. Prices are stated in US Dollars and may exclude taxes, which will be added where applicable. We may offer different plans or promotional pricing from time to time, and specific plan features may vary.

2. Billing Cadence and Auto-Renewal

Subscriptions are billed in advance on a recurring basis for each billing period, on the schedule shown at checkout (monthly or annual). Payment is handled by our third-party payment processor, Stripe. By subscribing, you authorize us and our payment processor to charge your selected payment method for the applicable fees at the start of each billing period.

Your subscription renews automatically at the end of each billing period at the then-current price for your plan, unless you cancel before the renewal date. We do not store full payment card numbers; your payment details are handled by the payment processor.

3. Price Changes and Notice

We may change subscription prices or plan features from time to time. If we change the price that applies to your subscription, we will provide advance notice of at least [Price Change Notice Period] before the change takes effect, such as by email to the address associated with your account or by posting notice on the Website, in accordance with applicable law. Price changes will apply to your next billing period after the notice period. If you do not agree to a price change, you may cancel before it takes effect, as described below. 4. Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at support@theaiconsigliere.com. When you cancel, your subscription will remain active until the end of the current billing period, and it will not renew for the following period. You will continue to have access to the Service through the end of the period you have already paid for, unless we are required to end access sooner. Cancellation stops future charges; it does not, by itself, entitle you to a refund of amounts already paid, except as described in the refund policy below or as required by applicable law.

5. Refund Policy

Except as required by applicable law or as expressly stated here, subscription fees are non-refundable, and we do not provide refunds or credits for partial billing periods, unused portions of a subscription, or documents already delivered.

7. Chargebacks

If you believe a charge is incorrect, please contact us first at support@theaiconsigliere.com so we can review and resolve it promptly. Initiating a chargeback or payment dispute with your bank or card issuer without first contacting us may result in suspension or termination of your account and access to the Service. We reserve the right to dispute chargebacks that we reasonably believe are unwarranted and to recover amounts owed, including any related fees, to the extent permitted by applicable law.

8. Taxes

You are responsible for any applicable sales, use, value-added, or similar taxes associated with your subscription, except for taxes based on our net income. Where we are required to collect such taxes, they will be shown at checkout and added to your charges, where applicable.

9. Referrals

As a paying subscriber, you may receive a personal referral code. If a new subscriber activates a paid subscription using your code and completes their first paid billing period, you become eligible to select one document from the then-current Referral Shelf, a curated set of titles we designate, provided to you as a downloadable copy to keep. Referral rewards are limited to three per subscriber per calendar year.

A referral reward is voided if the referred subscriber's first payment is refunded or reversed, or if we determine, in our reasonable discretion, that the referral resulted from self-referral or other abuse. Referral codes are personal to you and non-transferable. The Referral Shelf and these referral terms may change at any time. Certain items are never eligible as referral rewards, including The Consigliere Secrets and any partner-only editions.
